Terms of Service

  • This agreement sets out the terms and conditions for purchasing products from Scents by Katrina at wholesale prices for resale.

    By ordering after reading this agreement, the retailer confirms that they have read, understood and accepted the following terms.

    1. Wholesale Minimum Order

    • A minimum order value of £80 applies to every wholesale order.

    • The £80 minimum applies to the value of products purchased, excluding shipping charges.

    • Orders below the minimum value will not qualify for wholesale pricing.

    • Scents by Katrina reserves the right to amend the minimum order requirement for future purchases with reasonable prior notice.

    2. Wholesale Pricing

    • Wholesale prices are confidential and are made available exclusively to approved wholesale customers.

    • Wholesale pricing may change to reflect material costs, production expenses or other business requirements.

    • Any price changes will apply to future orders only and will not affect orders already accepted.

    • Scents by Katrina may provide recommended retail prices (RRPs) as guidance. These are recommendations only, and each retailer remains free to determine their own resale prices independently.

    3. Ordering and Payment

    • Wholesale orders must be placed through the designated wholesale section of the Scents by Katrina website unless otherwise agreed.

    • All orders must be paid in full before processing or dispatch.

    • Orders are subject to product availability and acceptance by Scents by Katrina.

    • Scents by Katrina reserves the right to decline orders that do not meet the wholesale terms.

    4. Shipping and Delivery

    • Retailers must select the designated "Wholesale Shipping" option at checkout.

    • Standard retail shipping options must not be used for wholesale purchases.

    • If the incorrect shipping option is selected, the order may be placed on hold until the correct shipping charge has been paid.

    • Delivery times may vary depending on order size, production requirements and stock availability.

    • Any damage or missing items should be reported as soon as reasonably possible after delivery, ideally within five working days, with photographs where appropriate.

    5. Product Labelling and Personalisation

    • All products must retain their original CLP, INCI ingredient and other mandatory compliance labels supplied by Scents by Katrina.

    • These labels must not be removed, altered, covered or obscured under any circumstances.

    • Products must not be repackaged, reformulated or modified.

    • Retailers must not market or represent Scents by Katrina products as products they have manufactured themselves.

    • White-label options may be offered by prior arrangement. Retailers should contact Scents by Katrina directly to discuss availability and requirements.

    • Personalised front labels featuring a retailer's business logo may also be available upon request. Please contact Scents by Katrina to discuss options and pricing.

    • All personalisation must be approved by Scents by Katrina before production.

    6. Photography and Marketing Materials

    • Photographs, videos, graphics and other content published on the Scents by Katrina website or social media accounts must not be copied or used without prior written permission.

    • Retailers are welcome to take their own photographs of products they have purchased.

    • Scents by Katrina branding, logos and promotional materials must not be altered or reproduced without permission.

    7. Product Customisation

    • Customisation options may be available for selected wholesale products, subject to prior discussion and agreement with Scents by Katrina.

    • Retailers may request changes to product colours, glitter, decorative finishes and other aesthetic elements.

    • All customisation requests must be discussed and approved by Scents by Katrina before an order is placed.

    • Customisation is subject to product suitability, ingredient availability and applicable safety and compliance requirements.

    • Additional charges or longer production times may apply depending on the customisation requested. These will be confirmed before the order is accepted.

    • Scents by Katrina reserves the right to decline customisation requests where they are unsuitable or cannot be accommodated.

    • Once production has commenced, agreed customisations cannot be changed or cancelled without approval.

    8. Wholesale Account Access

    • Access to the wholesale section is provided only after approval and acceptance of this agreement.

    • Wholesale passwords and login details must not be shared with unauthorised individuals or businesses.

    • Wholesale prices and other non-public commercial information must be treated as confidential.

    • Access may be suspended or withdrawn where there is a material breach of this agreement, misuse of account access or non-payment.

    9. Returns and Refunds

    • Wholesale purchases are business-to-business transactions intended for resale.

    • Returns of unsold stock or products ordered in error are not automatically accepted.

    • Any discretionary returns must be agreed with Scents by Katrina in advance.

    • Faulty, damaged or incorrectly supplied products will be addressed in accordance with applicable legal obligations.

    • Nothing in this agreement excludes or restricts rights or remedies that cannot lawfully be excluded.

    10. Retailer Responsibilities

    The retailer agrees to:

    • Operate independently and remain responsible for their own business activities.

    • Handle their own customer sales, payments, returns and customer service.

    • Comply with applicable consumer protection, product safety and advertising laws.

    • Cooperate with Scents by Katrina in the event of a product safety concern, withdrawal or recall.

    • Notify Scents by Katrina promptly of any serious product complaints or safety concerns.

    11. Termination of Wholesale Access

    Scents by Katrina may suspend or terminate wholesale access for legitimate business reasons, including material breach of these terms, misuse of confidential account information or failure to make required payments.

    Where appropriate, reasonable notice and an opportunity to resolve the issue will be given.

    The retailer may request closure of their wholesale account at any time.

    Termination does not remove any outstanding payment obligations or affect rights relating to orders already accepted.

    12. Agreement and Governing Law

    This agreement is governed by the laws of Scotland.

    Any changes to these terms will be communicated to wholesale customers before taking effect and will apply to future orders.

    By ordering, the retailer confirms acceptance of the wholesale terms and conditions.
